Constitution and Bylaws

 

Article I

 

Section 1.1          Name.  This community association shall be known as Parents for Gifted Education.

 

Section 1.2       Purpose.  Parents for Gifted Education is a not for profit association which supports and promotes gifted education in Rockford Public School District 205 involving parents, faculty members and administrators.

 

Said organization is organized exclusively for charitable or educational purposes, including for such purposes, the making of distribution to organizations that qualify as exempt organizations as defined by Section 501(c)(3) of the Internal Revenue Code of 1986 (or the corresponding provisions of any future United States Internal Revenue Law).

 

No part of the earnings of the association shall inure to the benefit of any member, director, or officer of the association or to the benefit of any private individual (except that reasonable compensation may be paid for services rendered to or for the association in connection with one or more of its purposes), and no member, director, or officer of the association or any private individual shall be entitled to share in the distribution of any of the association’s assets upon dissolution.

 

No substantial part of the activities of the association shall consist of the carrying on of propaganda, or otherwise attempting to influence legislation, and the association shall not participate or intervene (including by publication or distribution of statements) in any political campaign on behalf of any candidate for public office.

 

Notwithstanding any other provision of these By-Laws, the association shall not conduct or carry on any activities not permitted to be conducted or carried on by a association exempt under Section 501(c)(3) of the Internal Revenue Code and its Regulations as they now exist or as they may be hereafter amended, or by any association to which contributions are deductible under Sections 170 (c)(2), 2055(a)(2) and 2522(a)(2) of such Code and Regulations as they now exist or as they may be hereafter amended.

 

Upon the dissolution of the association or the winding up of its affairs, the assets of the association shall be distributed exclusively to charitable or educational organizations which would then qualify for exemption under Section 501(c)(3) of the Internal Revenue Code and its Regulations as they now exist or as they may be hereafter amended, or exclusively for public purposes to a governmental unit as defined in Section 170(c)(1) of the Internal Revenue Code and its Regulations as they now exist or as they may be hereafter amended, or partly to said organizations or governmental units as the Board of Directors of the association shall determine.

 

 

 

 

Section 1.3       Goals.

                       

(i)                  To advocate for continuation and expansion of the Rockford Public School District 205 (RPS 205) Academic and CAPA Gifted Program.

(ii)                To provide speakers and develop programs pertinent to the education and parenting of gifted children.

(iii)               To provide an opportunity for networking and communication with parents who have children in the program.

(iv)              To advocate for gifted education in the community as well as in state and local government.

(v)        Collect and administer funds for book scholarships to seniors graduating from high school gifted education program.  

 

 

Article II

 

Section 2.1       Members. Membership shall be open to any parent or guardian of students enrolled in RPS 205 Academic and CAPA Gifted Programs.

 

Section 2.2       Fiscal Year.  The membership and fiscal year shall be August 1 - July 31.

 

 

 

Article III

 

Section 3.1       Number of Directors and Positions.  The Board of Directors shall consist of a minimum of ten (10), but not more that fifteen persons.  Positions shall include a president, a past president, a vice-president, a treasurer/membership, a secretary, a directory chairperson, a webmaster, and liaisons from each school in which the Academic/CAPA Gifted programs are housed.  The number of board members for each of these positions may vary; the total not to exceed the maximum number allotted for the Board of Directors.

 

Section 3.2       Terms.  The board members shall be elected for a term of one year by the general membership at the annual meeting and shall serve for a term of one year, or until their successors have been duly elected and qualified.

 

Section 3.3       Vacancies. Vacancies may be filled by election at a regular meeting, such successor to serve the remainder of the term of the vacant position.

 

Section 3.3       Nominations.  A nominating committee shall be formed by members of the current board of directors to prepare a slate of nominees for board positions to be represented at the annual meeting.  Nominations will be accepted from the general membership.

 

 

 

 

 

 

Article IV

 

Section 4.1       Annual Meeting.  The annual meeting shall be scheduled for the last regular meeting date of the school year.  Election of the Board of Directory by the general membership shall occur at this meeting unless alternative arrangements have been made and the membership notified thereof.  For decisions requiring a vote, a majority of those present shall prevail.

 

 

Section 4.2       Regular Meeting.  The board of directors shall hold a regular meeting on the first Monday of the month during the school year unless alternative arrangements have been made and the Board of Directors have been notified thereof.  There must a 2/3 majority of the elected Board of Directors present to constitute a quorum.

 

 

Article V

 

Section 5.1       Action by Consent of the Board of Directors.  Any action that may be taken at a regular board meeting may be taken without a board meeting if a 2/3 (quorum) majority is reached either by written or verbal consent.  A majority of those responding shall prevail.

 

 

Article VI

 

Section 6.1       Amendment of Bylaws.  The amendment of bylaws requires a 2/3 majority vote by the Board of Directors.
